**Terms of Agreement between Don'Q Technologies and Brand Manager and Supervisor**
Welcome to our online company services (referred to as "the Services"), operated by [Don'Q] ("we," "us," or "our") and You the Marketing and Business Development Officer (referred to as "The Brand Agents Manager and Supervisor"). Please read these terms carefully before using our Services. By accessing or using the Don'Q Services, you agree to be bound by this business development officer terms of agreement. If you do not agree with any part of these terms, do not use the Portal.
This agent terms of agreement and other associated agreements outside this terms of agreement shall constitute the agreement and contract between Don'Q (The Company) and You (The Business Development Officer) for the Don'Q Services offered to customers/partners on the Don'Q mobile app platform. You agree that by proceeding to register, you have read this terms of agreement and other required and or related policies and this agreement shall be binding on your use of our Service (Don'Q Services) and Software (website and mobile apps), as expressly detailed therein
**Roles and Responsibilities:**
1. **Participate in tactical WhatsApp meetings and trainings:** The Brand Manager and Supervisor (Officer) shall be part of and participate in WhatsApp trainings and meetings to learn, discuss and make inquiries about sales matters of Don'Q.
2. **Belong to and be active in a Sales Team:** The Brand Agents Manager and Supervisor (Officer) shall belong to and be active in a Sales Team (must belong to a group of 20 Brand Agents) headed by a Brand Supervisor. The Supervisor oversees, lias and manage the brand Agents of each group. The Supervisor reports to the Manager, who is in charge of a group of 12 Supervisors
3. **Read, listen to, watch and study relevant products marketing campaign materials:** The Brand Agents Manager and Supervisor (Officer) shall read and study relevant products materials to learn and know more about our Services, the solutions and how they solve customer's problems.
4. **Transaction Assistance:** The Brand Agents Manager and Supervisor (Officer) shall provide the role of a transaction assistant of Don'Q by interfacing with clients through support when required. This involves providing our applications (website and apps) usage support to new customers, facilitating communication and coordination between Don'Q and clients.
5. **Sell and Earn:** The Brand Agents Manager and Supervisor's primary and most important responsibility is to market and sell the Don'Q Services Premium Subscriptions to Brand Agents, Top Agents, and VIP Agents and earn income. You will achieve this by promoting Don'Q Services from the Don'Q mobile app Services Portals after you register, sharing of the Flyers provided, word of mouth communication to retail business owners, family, friends, colleagues, neighbours and members of same clubs, school, church and mosque.
**Compensation:**
1. The Brand Agents Manager and Supervisor shall be paid in basic salary milestones, commissions and bonuses as detailed in the "About Don'Q Brand Agents Supervisor and Earnings" for sales transactions that are transacted to the Brand Agents, Top Agents and VIP Agents. This commission shall be based on the Don'Q Services Premium Subscriptions sales. 2. In addition to commissions, the Brand Agents Manager and Supervisor may be eligible for other incentives as determined by Don'Q. These incentives may include bonuses, performance-based rewards, or special recognition.
**Confidentiality:**
1. The Brand Agents Manager and Supervisor agrees to hold all Don'Q proprietary information in strict confidence. This includes but is not limited to business strategies, client lists, financial information, and any other confidential or proprietary data.
2. The Brand Agents Manager and Supervisor shall not disclose any Don'Q information to third parties without prior written consent from Don'Q. This confidentiality obligation shall survive the termination of this Agreement.
**Term and Termination:**
1. This Agreement shall commence on the Effective Date and shall remain in effect until terminated by either party with a thirty (30) days written notice.
2. Don'Q reserves the right to terminate this Agreement at any time for any reason, including but not limited to breaches of confidentiality, misconduct, or underperformance.
**Indemnification:**
1. The Brand Agents Manager and Supervisor (Officer) shall indemnify and hold harmless Don'Q from any claims, damages, liabilities, or expenses arising out of the Officer's actions or omissions in connection with this Agreement.
**Governing Law:**
1. This Agreement shall be governed by and construed in accordance with the laws of [Nigeria]. Any disputes arising out of or related to this Agreement shall be settled through arbitration in [Abuja], [Nigeria].
**Miscellaneous:**
1. This Agreement constitutes the entire understanding and agreement between Don'Q and the Brand Agents Manager and Supervisor (Officer) concerning the subject matter herein and supersedes all prior agreements, understandings, discussions, and representations, whether written or oral.
2. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
**Acceptance of Terms**:
You have read and accepted the terms of agreement provided by Don'Q for the usage of Don'Q Services; an online marketplace portal. By using the Portal, you acknowledge that you have read, understood and accepted these terms of agreement and will be bound by them.
