Stardom Service Terms of Use Agreement

This terms of service agreement is between an online business to business portal (referred to as "the Stardom Service"), operated by [Don'Q] ("we," "us," or "our") and You (The Customer). Please read these terms carefully before using our Services. By accessing or using the Portal, you agree to be bound by these terms of service. If you do not agree with any part of these terms, do not use the Portal.

**1. Usage of the Service**

a. Eligibility: You must be at least 18 years old to use the Stardom Service Portal. By using the Portal, you represent and warrant that you have the right, authority, and capacity to enter into this agreement.

b. Personal Use: The Portal is for personal use only. Commercial use of the Portal is strictly prohibited.

c. User Account: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

**2. Agreements**

a. User Conduct: You agree to use the Portal in accordance with all applicable laws and regulations. You will not engage in any conduct that is unlawful, defamatory, or infringes on the rights of others. We do not in anyway use this portal in support of or to promote fraud or misconduct and therefore will not be held liable for, in line or connection with anything related to the above mentioned vices, and do not guarantee the safety between contacts of providers and clients. We will however be legally supportive in providing related data solutions, in the case of any violation.

After approval, you agree to accept or be liable for any indemnities, contrary situation or occurrence of violations and abuse of the purpose of the service, as contained in the description.

b. Privacy: By using the Portal, you agree to our Privacy Policy. We may collect and use certain personal information in accordance with our Privacy Policy.

c. Communication: By using the Portal, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

** The Service **

- For vendors/partners without premium subscriptions, we will retain the monthly subscription charges from the payments made to you from the customer, per the Service and Subscription Plan and Price.

**3. Defaulters Penalties**

a. Breach of Terms: If you breach any of these terms of service, we reserve the right to suspend or terminate your access to the Portal. We may also take legal action if deemed necessary.

b. Disruption of Service: Any attempt to disrupt or interfere with the operation of the Portal is prohibited. Users found to engage in such behavior will face account suspension or termination.

**4. Indemnity and Liabilities**

a. Indemnification: You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, liabilities, and expenses arising from your use of the Portal or any violation of these terms of service.

b. Limitation of Liability: In no event shall we be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with the use of the Portal.

**5. Additional Provisions**

a. Modifications: We reserve the right to update or modify these terms of service at any time. You are responsible for reviewing these terms regularly. Your continued use of the Portal after any changes signifies your acceptance of the modified terms.

b. Governing Law: These terms of service shall be governed by and construed in accordance with the laws of [Nigeria], without regard to its conflict of law provisions.
