**Terms of Agreement between Don'Q Technologies and Property Agent**
Welcome to our online property buying and or rental portal (referred to as "the Smooth Service"), operated by [Don'Q] ("we," "us," or "our") and You (The Service Agent/Partner). Please read these terms carefully before using our services. By accessing or using the Service Portal, you agree to be bound by this agent terms of agreement. If you do not agree with any part of these terms, do not use the Portal.
This agent terms of agreement and other associated agreements outside this terms of agreement shall constitute the agreement and contract between Don'Q (The Company) and You (The Agent/Partner) for the Smooth Service (Properties Buying and or Rental Service) offered to customers on the Don'Q mobile app platform. You agree that by proceeding to register, you have read this terms of agreement and other required and or related policies and this agreement shall be binding on your use of our Service (Properties Buying and or Rental Service) and Software (website and mobile apps), as expressly detailed therein
**Roles and Responsibilities:**
1. **Scouting and Identification of Properties:** The Agent shall be responsible for scouting and identifying valuable properties for rent, sale, and development on behalf of Don'Q. This includes actively seeking out heavy duty tools, expensive jewelleries, vehicles, real estate and other relevant properties within his/her specified zone of residence and operation.
2. **Inspection of Properties:** The Agent shall inspect properties within their zone of operation and provide feedback to Don'Q for approval or disapproval. This includes evaluating the condition, market value, and suitability of the properties.
3. **Reporting:** The Agent shall report in detail all relevant information about the properties to Don'Q. This includes but is not limited to property features, pricing, location, legal status, and market trends.
4. **Transaction Assistance:** The Agent shall provide transaction assistance and support to Don'Q by interfacing with clients when required. This involves facilitating communication, negotiations, and coordination between Don'Q and clients.
**Compensation:**
1. The Agent shall receive an Agent fee of 70% of the agent fee on all properties that are transacted from or through the Agent. This commission shall be based on the final transaction and agent fee amount received by Don'Q, which shall be shared between Don'Q Technologies Inc and the Agent on a 30/70 bases.
2. You agree that the selected payment plans options ordered during purchase, will be the services that will be provided by us in your vendor account and received by you.
3. You agree that you shall earn 20% commissions through the retailers partnership of the Service and shall be paid through discounts determined only by Don'Q and communicated to partners on the terms of partnership agreement policy.
4. That you shall not sell the service to customers above the official prices set by Don'Q and depending on the magnitude of the offence as determined by Don'Q. That Don'Q shall suspend for a period of time determined by us or close your account when you default this clause in any manner.
5. In addition to commissions, the Agent may be eligible for other incentives as determined by Don'Q. These incentives may include bonuses, performance-based rewards, or special recognition.
**Confidentiality:**
1. The Agent agrees to hold all Don'Q proprietary information in strict confidence. This includes but is not limited to business strategies, client lists, financial information, and any other confidential or proprietary data.
2. The Agent shall not disclose any Don'Q information to third parties without prior written consent from Don'Q. This confidentiality obligation shall survive the termination of this Agreement.
**Term and Termination:**
1. This Agreement shall commence on the Effective Date and shall remain in effect until terminated by either party with a thirty (30) days written notice.
2. Don'Q reserves the right to terminate this Agreement at any time for any reason, including but not limited to breaches of confidentiality, misconduct, or underperformance.
**Indemnification:**
1. The Agent shall indemnify and hold harmless Don'Q from any claims, damages, liabilities, or expenses arising out of the Agent's actions or omissions in connection with this Agreement.
**Governing Law:**
1. This Agreement shall be governed by and construed in accordance with the laws of [Nigeria]. Any disputes arising out of or related to this Agreement shall be settled through arbitration in [Abuja], [Nigeria].
**Miscellaneous:**
1. This Agreement constitutes the entire understanding and agreement between Don'Q and the Agent concerning the subject matter herein and supersedes all prior agreements, understandings, discussions, and representations, whether written or oral.
2. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
**Acceptance of Terms**:
You have read and accepted the terms of agreement provided by Don'Q for the usage of the Smooth Service, an online properties buying and or rental portal. By using the Portal, you acknowledge that you have read, understood and accepted these terms of agreement and will be bound by them.
