**Terms of Agreement between Don'Q Technologies and RealHousewives Service Partner/Provider/Vendor**
Welcome to our online company services (referred to as "the Services"), operated by [Don'Q] ("we," "us," or "our") and You the Service Partner/Provider/Vendor (referred to as "RealHousewives Service Partner"). Please read these terms carefully before using our Services. By accessing or using the Don'Q Marketplace Services and Portals, you agree to be bound by this Service partner terms of agreement. If you do not agree with any part of these terms, do not use the Portal.
This partnership terms of agreement and other associated agreements outside this terms of agreement shall constitute the agreement and contract between Don'Q (The Company) and You (The Provider/Vendor/Partner) for the Don'Q RealHousewives Service offered by vendors/providers/partners to customers on the Don'Q mobile app platform. You agree that by proceeding to register, you have read this terms of agreement and other required and or related policies and this agreement shall be binding on your use of our Service (RealHousewives Service) and Software (website and mobile apps), as expressly detailed therein
**Roles and Responsibilities:**
**Provide Daycare at Your House:**
a. You will provide Daycare and Childcare Service at your house to children brought to stay safely under your supervision and care for certain time durations, as desired and booked by the customer from the Don'Q mobile app.
b. Must not exceed a total of 7 kids together under your care at a time in a day
c. Must provide 2 guarantors and be screened for approval (KYC) to become eligible to participate in the Service.
d. After your sign up and approval, you will have 3 months maximum to upgrade your apartment with basic daycare facilities like toys, daipas, beds, etc to better equip your service as provided in this service. Failure to do so may result in either a suspension or total closure of your account, with financial penalties of ₦2,000 or ₦3,000 paid to be readmitted.
d. You will provide childcare support and assistance like changing children daipas, feeding them food brought by their parent(s), etc and may have to provide educational support and assistance to the children under your care
e. You will or may provide medical support assistance by consent of the parent(s) to children through heartbeat and body temperature check up with the use of medical instruments (stethoscope and etc).
2. **Participate in tactical WhatsApp meetings and trainings:** The RealHousewives Service Provider/Vendor (Partner) shall be part of and participate in WhatsApp trainings and meetings to learn, discuss, contribute ideas to and make inquiries about RealHousewives Service matters of Don'Q.
3. **Belong to and be active in a Team:** The Provider/Vendor (Partner) shall belong to and be active in a Team (must belong to a group of Service Partners) headed by a Brand Manager. The Manager oversees, lias and manage the Service partners of each Don'Q Services group.
4. **Read, listen to, watch and study relevant Service marketing campaign materials:** The Service Provider/Vendor (Partner) shall read and study relevant Service materials to learn and know more about our Services, the solutions and how they solve customer's problems.
5. **Transaction Assistance:** The Service Provider/Vendor (Partner) shall provide the role of a transaction assistant of Don'Q by interfacing with clients through support when required. This involves providing our applications (website and apps) usage support to new customers, facilitating communication and coordination between Don'Q and clients.
6. **Sell and Earn:** The Service Provider/Vendor (Partner's) primary and most important responsibility is to promote and sell the Don'Q Service s(he) partners to customers and earn income. You will achieve this by sharing out your Don'Q Service advert (s) from the 'Service Portal' to various social medias (Facebook, Instagram, X, LinkedIn, etc), sharing of the Flyers provided, word of mouth communication to family, friends, colleagues, neighbours and members of same clubs, school, church and mosque.
**Compensation:**
1. The Provider/Vendor (Partner) shall be paid from the portal by customers who order for the RealHousewives Service the partner provide/advertised, as provided in the Service Options for service transactions that are transacted from or by the Service Partner. This earnings/income shall be based on the provider/vendor (partner) prices of the Don'Q Services.
2. In addition to earnings, the Provider/Vendor (Partner) may be eligible for other incentives as determined by Don'Q. These incentives may include bonuses, performance-based rewards, or special recognition.
3. Don'Q shall be entitled to, apply and receive Services charges, commissions, fees, taxes and other required or necessary compensation for the ownership, maintenance and as creator and innovator of the Portals and Services.
**Confidentiality:**
1. The Provider/Vendor (Partner) agrees to hold all Don'Q proprietary information in strict confidence. This includes but is not limited to business strategies, client lists, financial information, and any other confidential or proprietary data.
2. The Provider/Vendor (Partner) shall not disclose any Don'Q information to third parties without prior written consent from Don'Q. This confidentiality obligation shall survive the termination of this Agreement.
**Term and Termination:**
1. This Agreement shall commence on the Effective Date and shall remain in effect until terminated by either party with a thirty (30) days written notice.
2. Don'Q reserves the right to terminate this Agreement at any time for any reason, including but not limited to breaches of confidentiality, misconduct, or underperformance.
**Indemnification:**
1. The provider/Vendor (Partner) shall indemnify and hold harmless Don'Q from any claims, damages, liabilities, or expenses arising out of the Service Partner's actions or omissions in connection with this Agreement.
**Governing Law:**
1. This Agreement shall be governed by and construed in accordance with the laws of [Nigeria]. Any disputes arising out of or related to this Agreement shall be settled through arbitration in [Port Harcourt], [Nigeria].
**Miscellaneous:**
1. This Agreement constitutes the entire understanding and agreement between Don'Q and the Provider/Vendor (Partner) concerning the subject matter herein and supersedes all prior agreements, understandings, discussions, and representations, whether written or oral.
2. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
**Acceptance of Terms**:
You have read and accepted the terms of agreement provided by Don'Q for the usage of the Service(s); an online Daycare Service(s) partners portal. By using the Portal, you acknowledge that you have read, understood and accepted these terms of agreement and will be bound by them.
